Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of baselinedcf.com (the “Site”) and Baseline DCF, our desktop modeling software (the “Software”, and together with the Site, the “Services”), provided by Baseline DCF, a company organized under the laws of the United States of America (“we”, “us”, or “Baseline DCF”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Software license

The Software is licensed to you under a separate end-user license agreement (“EULA”) presented when you install or first launch the application. The EULA controls your rights to install, run, and use the Software. These Terms govern your use of the Site.

2. Trial

We offer a 30-day free trial of the Software. The trial provides full functionality. At the end of the trial period, you may purchase a subscription to continue using the Software. No payment information is collected to start the trial.

3. Subscriptions and payment

Paid subscriptions to Baseline DCF are offered at the prices published on the pricing page. Subscriptions are billed by Stripe, Inc. on behalf of Baseline DCF. Monthly plans renew every month until cancelled; annual plans renew every year until cancelled. You may cancel at any time from your Stripe customer portal; cancellation takes effect at the end of the current billing period.

All fees are in US dollars and are non-refundable except where required by applicable law. You are responsible for any taxes that may apply to your purchase.

4. Acceptable use

You agree not to:

  • Attempt to reverse engineer, decompile, or disassemble the Software except to the extent permitted by applicable law.
  • Remove, obscure, or alter any proprietary notices or branding.
  • Resell, sublicense, or distribute access to the Software except as expressly permitted.
  • Use the Services to infringe any third party’s intellectual property, privacy, or other rights.
  • Interfere with or disrupt the Site or attempt to access it through unauthorized means.

5. Intellectual property

The Services and all content, features, and functionality (including all text, graphics, logos, and software) are owned by Baseline DCF or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Services other than the limited right of use expressly granted.

6. Models you create

You retain all rights to the models, data, and analyses you create using the Software. We claim no ownership over your files.

7. Disclaimer of warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY OUTPUTS WILL MEET YOUR REQUIREMENTS. THE SOFTWARE IS A COMPUTATIONAL TOOL; IT IS NOT INVESTMENT, LEGAL, TAX, OR ACCOUNTING ADVICE.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BASELINE DCF OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Baseline DCF from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or your misuse of the Services.

10. Governing law and disputes

These Terms are governed by the laws of the United States of America, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved through arbitration or in the courts of the United States of America, and you consent to jurisdiction in those courts.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated to active subscribers. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
